Please read these Terms & Conditions (“Terms”) carefully before using downstox.com (“DownStox”, “the Service”, “we”, “us”, or “our”). By accessing or using DownStox, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.
1. Description of Service
DownStox is a free web-based tool that provides the following features:
- Comparison of MTF (Margin Trading Facility) margin percentages across Indian stockbrokers, including Upstox, Groww, Zerodha, and Dhan
- Display of live Last Traded Prices (LTP) for listed securities
- An MTF margin calculator for informational purposes
- The ability for authenticated users to place MTF and GTT (Good Till Triggered) orders directly through their own Upstox brokerage account via the Upstox API
DownStox is a facilitating tool and a data aggregation and display service. It is not a brokerage, an exchange, or a financial intermediary.
2. Not a SEBI-Registered Investment Advisor
Important Disclaimer
DownStox is not registered with the Securities and Exchange Board of India (SEBI) as an Investment Advisor, Research Analyst, Portfolio Manager, or in any other regulated capacity under SEBI (Investment Advisers) Regulations, 2013 or any other applicable regulations.
Nothing on DownStox — including MTF percentage data, LTP data, the MTF calculator, or any other feature — constitutes investment advice, financial advice, a recommendation to buy or sell any security, or a solicitation of any investment. All content on DownStox is provided for informational and educational purposes only.
You are solely responsible for your own investment and trading decisions. Before making any financial decisions, you should consult a qualified, SEBI-registered financial advisor.
3. Order Execution — Your Account, Your Responsibility
When you use DownStox to place MTF or GTT orders, the following conditions apply:
- Orders are placed directly into your own Upstox brokerage account via the official Upstox API. DownStox acts as an interface; it does not hold your funds, securities, or positions.
- You authorize DownStox to use your Upstox OAuth access token to submit orders on your behalf only when you initiate an order action through the platform.
- You are fully responsible for reviewing all order details — including symbol, quantity, order type, and price — before confirming any order.
- Once submitted, orders are governed entirely by Upstox’s order management system and market conditions. DownStox has no ability to modify or cancel orders once they are transmitted to Upstox.
- You are solely responsible for all trading losses, tax obligations, or other financial consequences arising from orders placed through DownStox.
4. Zero Brokerage Disclaimer
DownStox uses the Upstox Developer API to place orders. Orders placed via the Upstox API may be subject to zero brokerage as per Upstox’s current API pricing policy. This is a feature of Upstox’s API platform and is not a guarantee made by DownStox. Upstox may change its fee structure, API pricing, or brokerage charges at any time without notice to DownStox. We are not responsible for any brokerage charges, platform fees, statutory levies (STT, GST, SEBI turnover charges, stamp duty, etc.), or other costs incurred through your trades.
5. Data Accuracy Disclaimer
DownStox aggregates MTF margin percentage data from publicly available sources published by Upstox, Groww, Zerodha, and Dhan. We make reasonable efforts to keep this data current and accurate; however:
- Broker MTF eligibility lists and margin percentages can change frequently and without prior notice from the brokers.
- There may be a delay between when a broker updates its MTF list and when that change is reflected on DownStox.
- LTP data is sourced via the Upstox API and may be delayed or unavailable during market hours or due to API limitations.
- DownStox makes no warranty, express or implied, regarding the completeness, accuracy, timeliness, or fitness for a particular purpose of any data displayed on the platform.
Always verify current MTF eligibility and margin requirements directly with your broker before placing trades.
6. Limitation of Liability
To the fullest extent permitted by applicable law, DownStox and its operators shall not be liable for any:
- Trading losses, missed opportunities, or financial harm arising from the use of DownStox or reliance on data displayed on the platform
- Errors, inaccuracies, or omissions in MTF data, LTP data, or any other information provided
- Service interruptions, downtime, or data loss caused by Upstox API unavailability, broker system outages, or third-party failures
- Unauthorized access to your Upstox account resulting from your failure to safeguard your login credentials
- Any indirect, incidental, special, consequential, or punitive damages of any kind
Your use of DownStox is entirely at your own risk.
7. Broker and Third-Party Downtime
DownStox depends on the availability and reliability of the Upstox API and the data feeds of Upstox, Groww, Zerodha, and Dhan. We are not responsible for any service degradation, order failures, delayed data, or other issues caused by downtime, maintenance, technical failures, or policy changes at any of these brokers or third-party providers. We do not guarantee continuous or uninterrupted availability of any feature on DownStox.
8. User Eligibility and Responsibilities
To use DownStox, you represent and warrant that:
- You are at least 18 years of age and legally capable of entering into binding contracts under Indian law
- You hold a valid, active Upstox brokerage account and have the legal right to authorize DownStox to access it via OAuth
- You understand the risks associated with margin trading (MTF) and are responsible for your own investment decisions
- You will not use DownStox for any unlawful purpose or in any manner inconsistent with these Terms
- You will keep your Upstox login credentials confidential and will notify us immediately if you suspect unauthorized access
9. Account Suspension and Termination
We reserve the right to suspend or terminate your access to DownStox at any time, with or without notice, if:
- You violate any provision of these Terms
- Your Upstox OAuth access is revoked or your Upstox account is suspended or closed
- We detect fraudulent, abusive, or otherwise harmful activity originating from your account
- We are required to do so by applicable law or a regulatory authority
You may also delete your DownStox account at any time by contacting us. Upon deletion, your stored data (account information and order history) will be removed from our systems within 30 days.
10. Intellectual Property
The DownStox name, logo, website design, and original content are the intellectual property of DownStox and its operators. MTF data displayed on the platform is aggregated from publicly available broker disclosures and remains the property of the respective brokers. You may not reproduce, distribute, or create derivative works from any part of DownStox without our prior written consent.
11. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any aspect of DownStox at any time without prior notice. This includes adding or removing features, changing the brokers covered, or shutting down the service entirely. We shall not be liable to you or any third party for any such modifications.
12. Changes to These Terms
We may update these Terms & Conditions from time to time. The revised Terms will be posted on this page with an updated “Last updated” date. Continued use of DownStox after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
13. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of DownStox shall be subject to the exclusive jurisdiction of the courts of India. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
